Sale and Purchase of Goods
Weavesmart (“Seller”) agrees to sell, and you (“Buyer”) agree to purchase, the products described in the checkout window (“Checkout”) (“Goods”) in the quantities shown there, on the terms and conditions set out in this Agreement. -
Purchase Price
The Buyer agrees to pay the price of the Goods as displayed on this website at the time of Checkout. -
Payment Terms
The total purchase price is payable in full by the Buyer according to the payment terms shown at Checkout. If the Buyer fails to pay, the Seller may use any legal remedies available and seek reimbursement from the Buyer for all reasonable costs of collection, including legal fees, expenses, and disbursements. -
Delivery
Unless otherwise agreed in writing, delivery will be made in line with the Seller’s shipping policy in force on the date of shipment. Any delivery dates given by the Seller are estimates only. The Seller will make reasonable efforts to deliver as estimated, but will not be liable for delays. Unless otherwise agreed in writing, Goods will be packed according to the Seller’s standard packaging methods. -
Colour Disclaimer
Colours of products shown on a computer or mobile screen may differ slightly from the actual product. Differences in screen technology, display settings, and calibration can all affect how colours appear. Studio lighting and photography conditions can also change how colours look in images. Such minor variations in colour will not be treated as defects or grounds for a claim. -
Customs, Duties and Taxes (International Orders)
For orders shipped outside India, the recipient is responsible for ensuring that the Goods can be lawfully imported into the destination country. The recipient is the “importer of record” and must comply with all applicable laws and regulations of that country.
Shipments to countries outside India may be subject to import duties, taxes, and customs fees, which are levied once the shipment reaches the destination country. Any such additional charges for customs clearance must be paid by the recipient; Weavesmart has no control over these charges and cannot predict their amount. Customs policies vary widely; the recipient should contact their local customs office for more information. Customs procedures may also cause delays beyond our original delivery estimates.
Customs duties, taxes, and similar charges may be collected by the carrier after it has paid them to the local customs office on the recipient’s behalf. Local charges such as Octroi or entry tax, where applicable, will also be collected from the recipient.
The recipient may be required to provide a tax ID, social security number, or other identification / address proof to customs authorities in order to clear the shipment. -
Force Majeure
The Seller will not be responsible for any delay or failure to deliver all or part of the Goods if such delay or failure is caused, in whole or in part, by events beyond the Seller’s reasonable control. These may include, but are not limited to, government action or regulation, strike or labour issues, fire, flood or other damage or destruction of the Goods or the manufacturing facility, shortage or inability to obtain raw materials, labour, fuel, power, water, or supplies, acts of God, or any other similar events. The Seller will, in good faith, determine the extent to which it can control any such event affecting performance. -
Disclaimer of Warranties / Limitation of Liability
Except as expressly stated in this Agreement, the Seller does not guarantee the quality of the Goods or that they will be fit for any particular purpose intended by the Buyer. All other warranties, conditions, or guarantees, whether express or implied, are disclaimed to the fullest extent permitted by law.To the maximum extent allowed by law, the Seller and its affiliates, officers, directors, employees, agents, and subcontractors (“Seller Affiliates”) will not be liable to the Buyer or any third party for any special, indirect, incidental, consequential, or exemplary damages arising out of or in connection with the Goods. This includes, but is not limited to, loss of profits, loss of use, loss of data, downtime, damage to property, costs of substitute products or services, or any amounts paid by Buyer to third parties, even if the Seller has been advised of the possibility of such damages.
In all cases, the total liability of the Seller and any Seller Affiliate to the Buyer for any loss or damage arising out of or related to the Goods will not exceed the net purchase price actually paid by the Buyer for the Goods in question.
The Seller does not provide any warranty of non-infringement in relation to the Goods and has no obligation to defend, indemnify, or hold the Buyer harmless against claims relating to infringement of patents, trademarks, copyrights, or other intellectual property rights arising from the Goods.

General
The Buyer may not assign or transfer this Agreement without the Seller’s prior written consent. The Seller is the sole intended beneficiary of this Agreement. If there is any inconsistency between this Agreement and any other document relating to the Goods, this Agreement will prevail.
This Agreement may only be modified in writing signed by the Seller. Any additional or different terms attached to an order by the Buyer are void unless expressly accepted in writing by the Seller. If any provision of this Agreement is found to be illegal or unenforceable, the remaining provisions will remain valid and enforceable.
This Agreement will be governed by the laws of the State of Telengana, India, without regard to conflict-of-law rules. In case of any dispute, the Buyer agrees to the exclusive jurisdiction of the courts at Hyderabad and waives any objection to such jurisdiction or venue.
